Parties
This Agreement is made between CoachOpp Global Ltd ("CoachOpp"), incorporated under the laws of the United Kingdom, and the coach registering on the platform ("Coach").
CLAUSE 1 – STATUS OF THE PARTIES
1.1. The Coach acts as an independent contractor when providing services through the CoachOpp platform.
1.2. Nothing in this Agreement shall be construed as creating an employer–employee, partnership, agency, or joint venture relationship between the Parties.
1.3. The Coach acts on their own behalf and is solely responsible for the operation of their own business.
CLAUSE 2 – SCOPE OF SERVICES
2.1. The Coach provides online coaching services to clients via the CoachOpp platform.
2.2. The content, method, tools, and techniques used in coaching are entirely within the professional discretion of the Coach.
2.3. The Coach agrees to comply with professional ethical standards and applicable laws when delivering services.
CLAUSE 3 – TAX AND LEGAL OBLIGATIONS
3.1. The Coach is solely responsible for the tax obligations related to all income earned through CoachOpp, in accordance with the laws of their own country.
3.2. The Coach is obligated to accurately declare income and fulfill all required tax, insurance, and other legal obligations.
3.3. CoachOpp does not pay taxes on behalf of the Coach, does not file tax returns, and does not assume any social security, NI, or similar obligations on behalf of the Coach.
CLAUSE 4 – INVOICING AND DOCUMENTATION
4.1. The Coach issues income documentation only for services rendered to CoachOpp. The Coach does not issue invoices or receipts directly to clients.
4.2. Sample document types by country:
- Turkey: Serbest meslek makbuzu (Freelance service receipt)
- UK / EU / USA: Freelancer invoice
- Other countries: Applicable freelance/self-employment income documentation
4.3. The documentation issued by the Coach to CoachOpp shall include the description: "Coaching service fee to CoachOpp Global Ltd."
CLAUSE 5 – PAYMENT STRUCTURE
5.1. Service fees paid by clients are first collected by CoachOpp.
5.2. CoachOpp transfers the Coach's share via bank transfer, EFT, Wise, or similar methods.
5.3. Payments made by CoachOpp to the Coach may be recorded as "Freelancer Service Fee" in CoachOpp's records.
5.4. Payment dates, minimum amounts, transfer periods, and other relevant details may be specified on the CoachOpp platform or in separately communicated documents.
CLAUSE 6 – ACKNOWLEDGMENT OF COACHOPP SERVICE MODEL
6.1. The Coach acknowledges that the CoachOpp service model operates on the following principles:
6.1.1. Clients purchase coaching services from CoachOpp, not directly from the Coach.
6.1.2. The Coach is an independent service provider listed on the CoachOpp platform and providing services on behalf of CoachOpp.
6.1.3. The seller of the service and the party issuing invoices to clients is CoachOpp, not the Coach.
6.2. Payment and Invoicing
6.2.1. Client payments are made only to CoachOpp; the Coach shall not request or accept direct payments from clients outside the platform.
6.2.2. The Coach agrees not to issue invoices, receipts, or similar documents directly to clients.
6.2.3. All invoicing processes are conducted by CoachOpp.
6.3. Service Delivery
6.3.1. The Coach delivers services through platforms, tools, and systems provided or approved by CoachOpp (e.g., in-platform video conferencing system, approved video conferencing tools, etc.).
6.3.2. The Coach agrees to comply with CoachOpp's technical terms of use, platform rules, and service processes.
6.3.3. The Coach acknowledges that they are not an employee of CoachOpp and are solely an independent professional providing services through the platform.
6.4. Refund and Cancellation Policies
6.4.1. CoachOpp's cancellation, refund, and rescheduling policies are determined by CoachOpp and published on the platform.
6.4.2. The Coach agrees to comply with these policies exactly and not to offer different refund or cancellation terms to clients outside the platform.
6.4.3. In the event of session cancellation, postponement, or refund, the applicable rules are those determined by CoachOpp and published on the platform.
CLAUSE 7 – INDEPENDENCE
7.1. The Coach determines their own working hours, availability, and manner of service delivery.
7.2. CoachOpp does not unilaterally determine the Coach's daily work schedule, working hours, or similar matters.
7.3. The Coach is responsible for their own equipment, internet connection, and working environment.
CLAUSE 8 – SERVICE QUALITY AND RESPONSIBILITY
8.1. The Coach is solely responsible for the content, method, quality, and outcomes of the coaching services they provide.
8.2. CoachOpp cannot be held responsible for the content of services provided by the Coach, communications between the Coach and clients, or any resulting outcomes.
8.3. The Coach is obligated to comply with applicable ethical and professional standards when providing services to clients.
8.4. Any commitments, guarantees, or similar statements made by the Coach do not bind CoachOpp.
CLAUSE 9 – NO DIRECT COMMERCIAL RELATIONSHIP WITH CLIENTS
9.1. No direct commercial, contractual, or financial relationship may be established between the Coach and clients outside the platform.
9.2. The Coach agrees not to work directly with clients met through the platform, bypassing CoachOpp; if the Coach wishes to do so, it must be subject to CoachOpp's written approval.
9.3. All payment and booking processes are conducted through the CoachOpp platform.
CLAUSE 10 – COMMISSION AND FEES
10.1. CoachOpp applies a certain commission rate on services provided.
10.2. Current commission rates and payment terms are specified on the CoachOpp platform or in related contracts/annexes.
10.3. CoachOpp reserves the right to change commission rates; changes shall become effective upon announcement on the platform.
CLAUSE 11 – TERMINATION OF AGREEMENT
11.1. Either party may terminate this Agreement unilaterally at any time.
11.2. Upon termination, payments for sessions planned and completed up to the termination date shall be calculated and settled in accordance with CoachOpp policies.
11.3. In cases of platform rule violations, client complaints, ethical breaches, suspected fraud, and similar situations, CoachOpp has the right to suspend or permanently close the Coach's account.
